Update for Adyen for Platforms Terms and Conditions

Adyen has made several updates to the Adyen for Platforms Terms and Conditions (the "AfP User Terms"). The new terms (the “New Terms”) will be available on October 27, 2025. The New Terms have been restructured and the terminology has been updated for the sake of clarity and concision, but there
are few substantive legal differences. The AfP User Terms were last updated in October 2022 (the "Old Terms").

Here are the key differences (in order of appearance):


Terminology Changes


The New Terms update several key defined terms. Notably, "Merchant" is now "User" and "Marketplace" is now "Platform." This better aligns with our technical documentation and market expectations.

Adyen Local Entities


The New Terms update the definition of "Processor" to include the updated address of the United States branch office, the United Kingdom branch office, and Adyen’s Hong Kong entity.


Rolling Reserves for Managed Risk Users


The New Terms include the concept of a Rolling Reserve, which may apply to Users in connection with Platform’s use of Adyen’s Managed Risk offering (if agreed and applicable).


Duration and Termination


The New Terms change the following notice and termination provisions:

  • User Termination for Convenience Notice Period: User's termination for convenience notice period has been reduced from at least two (2) months' prior written notice in the Old Terms to at least one (1) month’s prior written notice in the New Terms. Adyen’s termination for convenience rights have not changed.

  • User Termination for Material Adverse Change Notice Period: If a change to the AfP User Terms has a material adverse impact on User, User can terminate the User Agreement. Under the Old Terms, one month's written notice was required, with termination sent within 60 days of the change notification. The New Terms extend this period to 90 days.

  • Adyen's Right to Terminate: The New Terms add an additional clause giving Adyen the right to terminate the User Agreement immediately if the agreement the Platform has entered into with Adyen (i.e., the AfP Agreement) is terminated. This was previously an implied right, but we’ve made it explicit for clarity.

Dispute Resolution - Arbitration


In the Old Terms, disputes were subject to the jurisdiction of the courts of Amsterdam, the Netherlands. In the New Terms, disputes will be finally settled via binding arbitration in Amsterdam, the Netherlands.


Local Regulatory Updates


The New Terms include additional required regulatory disclosures relevant to Users in the United Kingdom, Ireland, and Canada in response to recent changes to regulatory requirements.
